The source and object code, format, directories, algorithms, and organization of the Platforms are confidential information of Shifa. You gain no rights beyond what is expressly stated in these Terms or any written agreement with Shifa.

**LICENSE AND RESTRICTIONS**

Subject to these terms, you receive a limited, non-transferable license to access and use the Platforms and Shifa Content for personal, non-commercial purposes. Commercial or resale use of Shifa Content or the Platforms is prohibited without prior written consent. Unauthorized actions, including interference with the Platforms, are strictly prohibited.

**COPYRIGHTS**

The Platforms and Shifa Content, copyrighted collectively, constitute Shifa’s exclusive property. Except for personal non-commercial use, no privileges or rights are granted beyond what these Terms specify. Respect all patent, trademark, and copyright notices on Shifa Content. Trademarks displayed are proprietary to Shifa or respective owners who granted Shifa the right to use them.

**YOUR CONTENT**

Any content submitted by users (“Your Content”) is subject to a worldwide, irrevocable license allowing Shifa to use, reproduce, and display it in connection with the Platforms. You must ensure Your Content is legal, non-infringing, and adheres to these Terms.

**FEEDBACK**

Feedback provided to Shifa may be used without obligation to maintain confidentiality. By submitting Feedback, you grant Shifa full rights and ownership of the intellectual property.

**USER ACCOUNTS**

Maintain accurate information for your account. Shifa is not liable for losses due to unauthorized account use. Users must promptly update information and notify Shifa if account security is compromised.

**DISCLAIMER OF WARRANTIES**

Products, services, and information on the Platforms are provided “AS IS.” Shifa disclaims all warranties, including implied warranties of merchantability and fitness for a particular purpose. Shifa does not guarantee uninterrupted or error-free services.

**LIMITATION OF LIABILITY**

Shifa and its affiliates are not liable for indirect, special, or consequential damages. Shifa’s liability for direct damages does not exceed one hundred rand (R100). These limitations apply even if essential remedies fail.

**SALES OF PRODUCTS**

Purchases are subject to additional Terms of Sale. Shifa reserves the right to refuse or discontinue supply, change prices, and cancel orders.

**PAYMENT INFORMATION**

Provide accurate payment information. Changes to payment card details may be requested. Electronic orders fulfill Statute of Frauds requirements.

**CONFIDENTIAL INFORMATION**

Users agree not to disclose Shifa Confidential Information. Shifa Confidential Information is used only for the Purpose and disclosed to authorized representatives under confidentiality obligations.

TRANSFER OF OWNERSHIP

It is possible that Shifa and/or any of our assets may be acquired by an unrelated third party or undergo a divestiture, restructuring, reorganization, dissolution, or other sale or transfer of Shifa’s business, whether as a going concern or as part of a bankruptcy, liquidation, or similar proceeding. In such a transaction, we may be required to disclose or sell any information you provide via the Platforms as an asset of the company in conjunction with the sale of our company or the sale of a portion of our assets to a third party. While we will endeavor to require the successor company to maintain these Terms, we cannot guarantee that our Terms will remain in effect.

MODIFICATIONS TO PRODUCTS

Shifa reserves the right at any time, and from time to time, to modify, terminate or discontinue, temporarily or permanently, the Products or their availability (or any portion thereof including any Content) with or without notice, in its sole discretion. You agree that Shifa shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Products.

If any provision of these Terms is deemed invalid, illegal, or unenforceable in any respect under applicable law or rule in any jurisdiction, such invalidity, illegality, or unenforceability shall not impact the effectiveness or validity of any provision in any other jurisdiction. These Terms will be reformed, construed, and enforced in such jurisdiction as if the provision had never been included herein. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Shifa as a result of these Terms or any use of the Products. Shifa’s adherence to these Terms is subject to existing laws and legal processes. Nothing in these Terms infringes upon Shifa’s right to comply with law enforcement requests or requirements related to your use of the Products or information gathered by Shifa in connection with such use. These Terms, along with the Privacy Policy, constitute the entire agreement between you and Shifa concerning the Platforms and Products, superseding all prior or contemporaneous communications and proposals, whether electronic, oral, or written. We may provide notice to you by posting announcements on the Platforms. Any rule of law or legal decision requiring the interpretation of ambiguities in these Terms against the drafting party is not applicable and is waived to the fullest extent allowed by law. The provisions of these Terms shall be interpreted reasonably to effectuate the intended purpose of the parties.
